Acceptance of Terms

These Terms and Conditions (“Terms”) govern access to and use of HHM Core AI SaaS, including its websites, applications, CRM tools, automation features, AI agents, voice services, messaging services, forms, funnels, integrations, subscription plans, add-ons, implementation services, and related support (collectively, the “Services”). The Services are provided by HHM Custom Homes LLC, doing business as HHM Core AI SaaS (“HHM Core,” “we,” “us,” or “our”).

By creating an account, purchasing a plan, submitting an order, clicking an acceptance box, accessing the Services, or otherwise using the Services, you agree to these Terms and our Privacy Policy. If you use the Services for a business, you represent that you have authority to bind that business.

Eligibility and Account Responsibilities

You must be at least 18 years old and legally capable of entering into a binding contract. You are responsible for providing accurate account information, maintaining secure login credentials, controlling user permissions, and all activity occurring under your account.

You must promptly notify us at [email protected] if you suspect unauthorized access, misuse, or a security incident involving your account.

Subscriptions, Charges, and Billing

Subscription prices, setup charges, usage charges, add-on charges, taxes, and billing intervals are shown at checkout or in an applicable order form. Unless expressly stated otherwise, subscriptions renew automatically at the then-current rate until canceled.

• You authorize us and our payment processor to charge the payment method on file.
• Usage-based charges may include telephone numbers, calls, AI voice usage, SMS/MMS, email, premium workflow actions, API access, data providers, and third-party services.
• Failed payments may result in restricted or suspended access.
• Except where required by law or expressly stated in writing, charges already incurred are nonrefundable.

Cancellation stops future renewal charges but does not erase outstanding balances or usage incurred before cancellation becomes effective.

AI and Automation Services

AI-generated output may be incomplete, inaccurate, delayed, or unsuitable for a particular purpose. You are responsible for reviewing configurations, testing workflows, supervising high-impact decisions, maintaining appropriate human oversight, and deciding whether to rely on any output.

The Services do not replace licensed legal, medical, financial, insurance, engineering, employment, or other professional judgment. You may not configure an AI agent to impersonate a person deceptively, make unlawful representations, or perform regulated actions without required authorization and oversight.

Acceptable Use

You may not use the Services to violate law, infringe rights, deceive consumers, distribute malware, conduct phishing, facilitate harassment, generate unlawful discrimination, scrape restricted data, evade platform safeguards, or send communications without the required consent or lawful basis.

You are responsible for the content, audiences, contact lists, claims, offers, instructions, data sources, automations, and campaigns used through your account. We may suspend or terminate activity that creates legal, security, deliverability, carrier, reputational, or operational risk.

HHM Custom Homes LLC SMS Program Terms

Program name and sender: HHM Custom Homes LLC, operating HHM Core AI SaaS.

Program description: Users who affirmatively opt in may receive SMS or MMS messages concerning appointment reminders, service notifications, account updates, customer-support responses, lead follow-up, estimates, project communications, and marketing or promotional offers when separately authorized.

Opting out

You can cancel the SMS service at any time. Reply STOP to any message from us. After you send STOP, we may send one final SMS confirming that you have been unsubscribed. After that confirmation, you will no longer receive SMS messages from that program unless you later opt in again.

Additional disclosures

• Consent to receive marketing text messages is not a condition of purchase.
• Carriers are not liable for delayed or undelivered messages.
• Messages may be sent using automated technology where permitted by law.
• To rejoin after opting out, complete the applicable opt-in process again.
• We honor valid opt-out requests and maintain suppression records.

Third-Party Services and Integrations

The Services may connect to payment processors, telephone carriers, email providers, AI model providers, data vendors, calendars, social platforms, CRMs, government sources, APIs, and other third-party services. Their terms, privacy practices, uptime, fees, and restrictions apply separately.

We are not responsible for a third party’s suspension, data limitations, policy changes, service interruption, or refusal to transmit content. Features that rely on a third party may change or become unavailable without notice.

Customer Data and Content

As between you and HHM Core, you retain ownership of content and data you lawfully submit to the Services. You grant us a limited right to host, process, transmit, copy, display, and use that content as necessary to operate, secure, improve, and support the Services and fulfill your instructions.

You represent that you have all rights, notices, consents, and lawful bases required to provide the data and direct its use. Do not submit sensitive data unless the applicable service is expressly configured and approved for that category of information.

Intellectual Property

The Services, software, interfaces, templates, designs, documentation, workflows, code, branding, and underlying technology are owned by or licensed to HHM Core and are protected by intellectual-property laws. Your subscription gives you a limited, nonexclusive, nontransferable, revocable right to use the Services during the paid term.

You may not copy, resell, sublicense, reverse engineer, remove proprietary notices, or use our materials to build a competing service except with our written authorization.

Confidentiality and Security

Each party may receive confidential business, technical, or customer information. The receiving party will use reasonable care to protect it and use it only for the relationship contemplated by these Terms, except where disclosure is required by law.

No system is completely secure. You are responsible for sound access controls, endpoint security, backups, data minimization, user training, and prompt incident reporting.

Availability, Changes, and Support

We may update, improve, replace, restrict, or discontinue features. Maintenance, carrier filtering, third-party failures, security events, internet conditions, and force-majeure events may affect availability. Unless a separate written service-level agreement applies, the Services are provided without a guaranteed uptime commitment.

Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND RESULTS. WE DO NOT GUARANTEE LEADS, REVENUE, APPOINTMENTS, DELIVERABILITY, SEARCH RANKING, DATA COVERAGE, AI ACCURACY, OR ANY PARTICULAR BUSINESS OUTCOME.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HHM CORE AND ITS OWNERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS, LOST DATA, LOST OPPORTUNITY, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES.

OUR TOTAL LIABILITY ARISING OUT OF THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO HHM CORE FOR THE AFFECTED SERVICES DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, EXCEPT WHERE A DIFFERENT LIMIT IS REQUIRED BY LAW.

Indemnification

You agree to defend, indemnify, and hold harmless HHM Core and its personnel from claims, losses, penalties, carrier fees, investigations, and expenses arising from your content, contact lists, campaigns, instructions, unlawful use, violation of these Terms, violation of messaging or privacy law, or infringement of another party’s rights.

Suspension and Termination

We may suspend or terminate access for nonpayment, security risk, unlawful activity, carrier or platform complaints, excessive abuse, infringement, or material breach. On termination, your right to use the Services ends. Provisions that by their nature should survive—including payment, intellectual property, disclaimers, liability limits, indemnity, and dispute terms—will survive.

Governing Law and Disputes

These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law principles. Unless applicable law requires otherwise, exclusive venue for disputes will lie in the state or federal courts serving Lancaster County, South Carolina, and each party consents to jurisdiction there.

Before filing a claim, each party agrees to provide written notice and attempt in good faith to resolve the dispute informally for at least 30 days.

Changes to These Terms

We may revise these Terms to reflect legal, technical, security, or business changes. The updated effective date will be posted at the top of the page. Material changes may also be communicated through the Services or by email. Continued use after the effective date of revised Terms constitutes acceptance to the extent permitted by law.
